These Terms of Service ("Terms") govern your use of the website at clarkdigitaladvisors.com, our apps, our All-Access Pro subscription, and our advisory and custom build services (together, the "Services"), all provided by Clark Digital Advisors LLC ("Clark Digital Advisors," "we," "us," or "our"). By using the Services, you agree to these Terms. If you don't agree, please don't use the Services.
Our services
We provide (1) digital operations advisory and project services, (2) custom app and website development, and (3) a suite of installable apps that are free to start with an optional paid upgrade. Specific engagements are also governed by any separate written proposal or agreement we sign with you; if there's a conflict, the signed agreement controls.
The apps & All-Access Pro
- Free to start. Our apps are free to use within the limits described in each app. They are local-first — your data is stored on your own device, and keeping your own backups is your responsibility.
- All-Access Pro. A single subscription (currently $19/month) unlocks Pro features across our app suite. Pricing and features may change; the price shown at checkout applies to your subscription.
- Billing. Subscriptions are billed through Stripe on a recurring basis until cancelled. You authorize us (via Stripe) to charge your payment method each billing period.
- Cancellation. You can cancel anytime. Your Pro access continues through the end of the period you've already paid for, and you won't be billed again after that.
- Refunds. Subscription payments are generally non-refundable except where required by law. If something goes wrong, email billing@clarkdigitaladvisors.com — we're reasonable.
- License keys. Your license key is for your use and must not be shared, resold, or published.
Custom build services
- Discovery is free. Every project starts with a no-cost discovery call. If it's a fit, we provide a fixed-price quote for a defined scope.
- Deposit. Work begins after you approve the quote and pay a 50% deposit. Because we schedule and start work immediately, the deposit is non-refundable.
- Balance & milestones. The remaining balance is due on delivery. Larger builds may be split into milestone payments as set out in your quote.
- Scope. Quotes cover the agreed scope. Additional work or changes outside that scope are quoted separately before we proceed.
- Care plans. Ongoing hosting, maintenance, and support are provided under a separate monthly care plan as described at the time of your build.
Acceptable use
You agree not to misuse the Services — including attempting to break, overload, reverse-engineer, or gain unauthorized access to them, circumventing license checks or usage limits, or using the Services to break the law or infringe others' rights.
Intellectual property
We retain ownership of our website, apps, and underlying code, except as expressly granted to you. For custom builds, ownership and licensing of the delivered work are set out in your project agreement; until final payment is received, deliverables remain our property. Content you provide to us remains yours, and you grant us the rights needed to deliver the Services.
Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Because our apps store data on your device, we are not responsible for data you lose by clearing your browser, losing your device, or failing to keep backups. We don't guarantee that the Services will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, Clark Digital Advisors LLC will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising out of or related to the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services giving rise to the claim in the 12 months before the claim.
Governing law
These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in Northwest Arkansas.
Changes to these Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Continuing to use the Services after changes take effect means you accept the updated Terms.
